PUBLIC AGREEMENT (OFFER) for the order, sale and delivery of goods or services

This agreement is an official and public offer by the Seller to conclude a contract for the sale of goods (services) presented on the website www.steepen.ua. This agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers. By concluding this Agreement, the buyer fully accepts the terms and procedure for placing an order, paying for the goods (services), delivering the goods, returning the goods, liability, and all other terms of the agreement.

The Agreement is considered concluded from the moment the "Confirm Order" button is clicked on the order placement page in the "Cart" section and the Buyer receives an electronic confirmation of the order from the Seller.

1. Definition of Terms

Public Offer ("Offer") – a public proposal by the Seller, addressed to an indefinite number of persons, to conclude a contract for the sale of goods (services) remotely ("Agreement") on the terms contained in this Offer.

Goods or Service – the object of the agreement between the parties, which was selected by the buyer on the website of the Online Store and placed in the cart, or already purchased by the Buyer.

Online Store – the Seller's website at www.steepen.ua, created for concluding retail and wholesale sale and purchase agreements.

Buyer – a legally capable individual who has reached the age of 18, or a legal entity or individual entrepreneur, who places an order for purposes not related to business activities, or for business activities.

Seller – LIMITED LIABILITY COMPANY "SCIENTIFIC AND PRODUCTION ENTERPRISE "STEEPEN" (USREOU 44266347).

2. Subject of the Agreement

The Seller undertakes to transfer the ownership of the goods (or provide the service) to the Buyer, and the Buyer undertakes to pay for and accept the goods (services) under the terms of this Agreement.

The date of the conclusion of the Agreement (acceptance of the offer) is the date the Buyer fills out the order form on the website and receives electronic confirmation of the order from the Seller.

3. Placing an Order

The Buyer independently places an order in the Online Store via the "Cart" form, or by ordering via email or by phone number indicated in the contacts section.

3.1. Mandatory information for ordering:

  • Buyer's last name, first name;
  • address where the Goods should be delivered (if delivery is to the Buyer's address);
  • contact phone number;
  • Identification code for a legal entity or individual entrepreneur.

The Seller has the right to refuse to transfer the order to the Buyer if the information provided by the Buyer when placing the order is incomplete or raises suspicion about its validity.

The Buyer is responsible for the accuracy of the information provided when placing the Order.

3.2. Consent to the processing of personal data:

By placing an Order, the Buyer confirms that:

  • They are fully and completely familiar with and agree to the terms of this offer;
  • They give permission for the collection, processing, and transfer of personal data (for fulfilling the terms of the Agreement, mutual settlements, and receiving documents).

4. Price and Delivery of Goods

Prices for Goods and services are determined by the Seller, indicated on the website in Hryvnias with VAT included. Prices may be changed unilaterally by the Seller, but the price of a Good already fully paid for by the Buyer cannot be changed unilaterally by the Seller.

4.1. Delivery conditions:

  • The cost of the Goods does not include the cost of delivery of the Goods to the Buyer.
  • The cost of delivery is paid by the Buyer according to the current tariffs of the delivery services (carriers).
  • The Buyer's obligations to pay for the Goods are considered fulfilled from the moment the funds are received in the Seller's account.
  • Payments are made by the methods specified in the "Payment and Delivery" section.

4.2. Acceptance of Goods:

Upon receipt, the Buyer must check the conformity of the Goods with quality and quantity characteristics in the presence of the delivery service representative.

Title and the risk of accidental loss or damage to the Goods pass to the Buyer from the moment of receipt of the Goods or during the transfer of the goods by the Seller to the delivery service (carrier) chosen by the Buyer.

5. Rights and Obligations of the Parties

5.1. The Seller is obliged to:

  • Transfer the Goods (provide the service) in accordance with the terms of this Agreement.
  • Not disclose any private information about the Buyer (except for fulfilling the Order and cases provided by law).

5.2. The Seller has the right to:

  • Change the terms of this Agreement, as well as prices for Goods, unilaterally, by posting them on the website.

5.3. The Buyer is obliged to:

  • Familiarize themselves with the content and terms of the Agreement before its conclusion.
  • Provide all necessary data for identification and delivery of the ordered Goods.

6. Return of Goods

6.1. Terms of return for non-food goods of proper quality:

The Buyer has the right to return non-food goods of proper quality within 14 (fourteen) days, not including the day of purchase, if the goods were not used and the following are preserved:

  • product appearance, consumer properties;
  • packaging, seals, labels;
  • settlement document.

The cost is refunded within 30 (thirty) calendar days by bank transfer to the Buyer's account. The return of the Goods is carried out at the Buyer's expense.

6.2. Return of defective goods:

In case of detection of defects in the Goods during the established warranty period, the Buyer has the right to make claims provided for by the Law of Ukraine "On Protection of Consumer Rights".

The Buyer is not entitled to refuse non-food goods of proper quality that have individually defined properties.

7. Liability

  • The Seller is not responsible for damage caused to the Buyer or third parties due to improper installation, use, or storage of the Goods purchased from the Seller.
  • The Parties are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
  • The Parties are released from liability in case of force majeure circumstances (war, natural disasters, etc.).

8. Confidentiality and Protection of Personal Data

By providing personal data, the Buyer gives voluntary consent to their processing and use by the Seller in accordance with the Law of Ukraine "On Protection of Personal Data".

The Seller undertakes not to disclose information, except in cases established by law or for the purpose of fulfilling obligations to the Buyer.

9. Other Terms

This agreement is concluded on the territory of Ukraine and operates in accordance with the current legislation of Ukraine. All disputes are resolved through negotiations, and in case of failure to reach an agreement – in judicial bodies.

The Seller has the right to unilaterally amend this Agreement, as provided for in clause 5.2.1.
